Diamond Willow Advisory Ltd (“Diamond Willow,” “we,” “us,” “our”) provides corporate advisory services that help companies access capital and navigate lender relationships.

Acceptance
By using our website or working with us, you agree to these Terms. If you are entering into an engagement on behalf of a company, you confirm you have authority to do so.

Our services
We provide advisory, preparation, and coordination services related to capital planning and lender outreach. We are not a lender and do not guarantee funding, specific terms, or timing.

Your responsibilities
You agree to provide accurate, complete, and timely information and to tell us if circumstances change. You are responsible for your use of any materials we provide.

Engagements and fees
Specific scopes, fees, and timing are set out in a separate written engagement. If these Terms conflict with an engagement letter signed by both parties, the engagement letter controls for that scope.

Confidentiality
Each party will keep non-public information it receives from the other party confidential and use it only to deliver or receive services, except where disclosure is required by law or allowed by the Disclosures section in our Privacy Policy.

No legal, tax, or accounting advice
Materials and discussions are for general guidance. You should obtain independent legal, tax, accounting, and technical advice before making decisions.

Intellectual property
We own our methods, templates, models, and content. Upon payment of applicable fees, we grant you a non-exclusive license to use deliverables we create for your internal business purposes.

Third parties
We may introduce you to lenders, advisors, and service providers. You choose whom to work with. We are not responsible for third-party services.

Limitation of liability
To the maximum extent permitted by law, Diamond Willow is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits or revenues. Our total liability arising from or related to the services is limited to the fees you paid to us for the engagement that gave rise to the claim.

Indemnity
You agree to indemnify and hold Diamond Willow harmless from claims arising from your breach of these Terms or misuse of the services, except to the extent caused by our wilful misconduct or fraud.

Termination
Either party may end an engagement as set out in the engagement letter. Provisions that by their nature should survive termination will survive, including Confidentiality, Intellectual Property, Limitation of Liability, and Governing Law.

Governing law
These Terms are governed by the laws of Alberta and the federal laws of Canada applicable in Alberta. The courts of Alberta have exclusive jurisdiction.

Changes
We may update these Terms. If we make material changes, we will post the updated Terms with a new “Last updated” date. Continued use of the site or services after changes means you accept them.
